TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the website www.vmeasure.ai/ and the services provided by VISAI Labs including its affiliates (“Company”, “we”, “us”, or “our”).
By accessing or using the platform, you agree to be bound by these Terms.

1. INTRODUCTION AND ACCEPTANCE OF TERMS

vMeasure is a computer vision–based automated dimensioning system designed for both static and in-motion parcel and pallet measurement. It is used in logistics and warehouse operations to accurately capture the dimensions, weight, and images of parcels, packages, and palletized freight. The system combines hardware devices, cameras, and cloud software to automatically measure length, width, height, and weight of items within seconds and transmit this data to warehouse management, shipping, and enterprise systems. vMeasure solutions help logistics providers, retailers, manufacturers, and e-commerce fulfillment centers improve operational efficiency, ensure accurate freight billing, optimize storage space, and automate data capture in supply chain processes.
By accessing or using the platform you:
  1. Confirm that you have read, understood, and agreed to these Terms
  2. Agree to comply with all applicable laws and regulations
  3. Agree that you are using the Platform for business purposes
If you do not agree, you must not use the Platform.

2. DEFINITIONS

For the purposes of these Terms:
  1. “Platform” means the vMeasure website, software, applications, APIs, and services
  2. “Services” means all functionalities provided by vMeasure, including dimensioning, image capture, analytics, and reporting
  3. “User” means any business entity or authorized representative accessing the Platform
  4. “Customer Data” means all data uploaded, captured, or processed through the Platform, including images, dimensions, and shipment-related data
  5. “Account” means a registered user profile used to access the Platform
If you do not agree, you must not use the Platform.

3. ELIGIBILITY

  1. The Platform is intended for business (B2B) use only
  2. You must be authorized to act on behalf of your organization
  3. You must be at least 18 years old
  4. You must have the legal authority to enter into binding agreements

4. USER ACCOUNTS AND RESPONSIBILITIES

You agree to:
  1. Provide accurate and complete information during registration
  2. Maintain confidentiality of login credentials
  3. Be responsible for all activities under your account
  4. Notify us immediately of any unauthorized access
You are solely responsible for:
  1. Accuracy of data uploaded or captured
  2. How the Platform outputs are used in operational decisions

5. ACCEPTABLE USE

You agree NOT to:
  1. Use the Platform for unlawful or fraudulent purposes
  2. Reverse engineer, decompile, or attempt to extract source code
  3. Interfere with system integrity or performance
  4. Upload malicious code, viruses, or harmful data
  5. Misuse or manipulate measurement outputs
  6. Use the Platform to infringe third-party rights
The Company reserves the right to suspend access for violations.

6. DATA USAGE AND PRIVACY

  1. Your use of the Platform is subject to our Privacy Policy
  2. We process Customer Data solely to provide and improve the Services
  3. You retain ownership of your Customer Data
  4. You grant us a limited license to process data for service delivery

You are responsible for ensuring:

  1. You have rights to upload and process the data
  2. Compliance with applicable data protection laws

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Company Ownership

All rights in the Platform, including:
  1. Software
  2. Algorithms
  3. Measurement technology
  4. UI/UX
  5. Documentation
are owned exclusively by the Company.

7.2 Customer Data Ownership

  1. You retain ownership of your data
  2. We do not claim ownership over your operational or shipment data

7.3 Restrictions

You may not:
  1. Copy, resell, or distribute the Platform
  2. Use the Platform to build competing products

8. SUBSCRIPTION, PRICING, AND BILLING

  1. Services are provided on a subscription basis
  2. Pricing is defined in your agreement, proposal, or order form

8.1 Billing

  1. Fees are billed in advance unless stated otherwise
  2. Payments must be made within agreed timelines

8.2 Trials / Demos

  1. Trial access may be provided with limited features
  2. The Company may revoke trial access at any time

8.3 Refunds

Fees are generally non-refundable, unless explicitly stated

9. SERVICE AVAILABILITY AND MODIFICATIONS

We aim to provide reliable services but do not guarantee uninterrupted access.
We may:
  1. Modify features or functionalities
  2. Perform maintenance or updates
  3. Temporarily suspend services
We are not liable for downtime or interruptions.

10. THIRD-PARTY INTEGRATIONS

The Platform may integrate with third-party tools or systems.

  2. Your use of such services is subject to their terms

11. DISCLAIMER OF WARRANTIES

The Platform is provided “as is” and “as available.”
We do not guarantee:
  1. Accuracy of measurements in all conditions
  2. Suitability for specific operational decisions
  3. Error-free or uninterrupted service
You acknowledge:
  1. Physical conditions (lighting, placement, handling) may impact results
  2. The Platform is a decision-support tool, not a substitute for manual verification where required

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law:
  1. The Company shall not be liable for:
    • Indirect, incidental, or consequential damages
    • Loss of profits, revenue, or business
  2. Operational losses due to incorrect data usage
  3. Total liability shall not exceed: the fees paid by you in the preceding 12 months

13. INDEMNIFICATION

You agree to indemnify and hold harmless the Company from:
  1. Claims arising from your misuse of the Platform
  2. Inaccurate or unlawful data uploaded by you
  3. Violations of applicable laws or third-party rights

14. TERMINATION

14.1 By You

You may terminate your subscription as per agreement terms.

14.2 By Company

We may suspend or terminate access if:
  1. You violate these Terms
  2. Payment obligations are not met
  3. There is misuse of the Platform

Upon termination:

  1. Access will be revoked
  2. Data retention will follow the Privacy Policy

15. GOVERNING LAW AND JURISDICTION

These Terms shall be governed according to the laws of country India.
